• We do not support or endorse any unlawful activity that may occur on websites designed by us.
• We are not responsible for third-party hosting failures, security breaches, or unexpected downtime.
• We do not guarantee specific results from SEO, marketing, or digital services due to algorithm changes and market fluctuations.
• Clients are responsible for securing their website credentials, passwords, and sensitive business information.

7. Intellectual Property

• All designs, content, and digital assets provided by Shield Agency remain our intellectual property until full payment is received.
• Clients must not resell, distribute, or claim ownership of Shield Agency’s copyrighted work without written consent.

8. Payment Terms

• Payments must be made on time and in full before project completion.
• Late payments may result in project delays or service suspension.
• Refunds will be issued only in cases where Shield Agency fails to deliver agreed-upon services.

9. Service Termination

• Shield Agency reserves the right to suspend or terminate services if a client violates these terms.
• Violations of ethical standards, including but not limited to spreading misinformation, promoting hate speech, or engaging in illegal activities, may result in immediate account termination without notice.

10. Data Privacy & Security

• Shield Agency collects and processes client data strictly for service provision.
• We do not sell or share personal information with third parties unless required by law.
• Clients must ensure that their digital assets, including websites and marketing campaigns, comply with privacy regulations.

11. Indemnification

Clients agree to indemnify and hold Shield Agency harmless from any claims, losses, or legal actions resulting from the misuse of websites we design. Clients are solely responsible for ensuring their websites comply with all applicable laws and regulations.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Shield Agency, its subsidiaries, affiliates, and its licensors do not warrant that:
(a) The Service will function uninterrupted, securely, or be available at any particular time or location;
(b) Any errors or defects will be corrected;
(c) The Service is free of viruses or other harmful components; or
(d) The results of using the Service will meet your requirements.

These Terms shall be governed and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions. Clients must comply with both Nigerian laws and any applicable international regulations.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had regarding the Service.
